This Master Service Agreement governs your use of Trabalance's unified platform for automation, accounting, and operations. We've designed our terms to be fair, transparent, and aligned with our core values of collaboration, empathy, curiosity & expertise, and integrity in scale.

Services and Support
Services
"Services" means the Trabalance products and services that unify automation, accounting, and operations. We provide Services in accordance with our Service Level Agreement.
- Unified platform for automation, accounting, and operations
- Cloud-based collaboration tools and workflows
- Integration capabilities with third-party systems
- Real-time analytics and reporting features
Support
We provide commercially reasonable support during your Service Period in accordance with our Support Policy.
- Technical support through multiple channels
- Documentation and training resources
- Regular platform updates and improvements
- Professional services available separately
Access and Use
Open Seat Model
Customer may provide access to unlimited authorized users within their organization at no additional per-user cost.
- Unlimited users at no extra cost
- No per-seat licensing restrictions
- Organization-wide collaboration enabled
- Customer responsible for all user activities
Acceptable Use
Customer agrees to use Services in compliance with applicable laws, this Agreement, and our Acceptable Use Policy.
- Comply with all applicable laws and regulations
- Use Services for legitimate business purposes only
- Respect intellectual property rights
- Maintain security of account credentials
Customer Data and Privacy
Data Ownership
Customer retains all rights, title, and interest in Customer Data. We process data solely to provide Services.
- Customer owns all submitted data and content
- Data processed only as necessary for Services
- Compliance with applicable data protection laws
- Appropriate technical and organizational security measures
Data Security
We implement appropriate measures to protect Customer Data against unauthorized access, alteration, disclosure, or destruction.
- Data encryption in transit and at rest
- Regular security assessments and monitoring
- Access controls and authentication systems
- Incident response and notification procedures
Fees and Payment
Dynamic Pricing Model
Customer pays fees based on workflows utilized rather than per-user seats, as specified in the Order Form.
- Workflow-based pricing instead of per-user fees
- Transparent pricing based on actual usage
- Monthly or annual payment options available
- No hidden fees or surprise charges
Payment Terms
Fees are due in advance with 30-day payment terms. All fees are non-refundable except as expressly provided.
- Payment due within 30 days of invoice
- Late payments may incur 1.5% monthly interest
- Customer responsible for applicable taxes
- 60 days notice for fee changes on renewals
Warranties and Limitation of Liability
Service Warranty
We warrant that Services will perform materially in accordance with documentation. Services provided "as is" otherwise.
- Services perform materially as documented
- Commercial efforts to correct non-conformity
- Disclaimer of other express or implied warranties
- No warranty of uninterrupted or error-free operation
Liability Limitations
Neither party liable for indirect damages. Total liability capped at fees paid in preceding 12 months.
- No liability for indirect or consequential damages
- Liability cap of 12 months of fees paid
- Mutual indemnification for specified claims
- Standard force majeure protections
Term and Termination
Termination for Convenience
Either party may terminate with 30 days' written notice
Termination for Breach
Immediate termination for material breach with 30-day cure period
Data Export
30-day period to export your data after termination
Surviving Provisions
Data rights, IP, warranties, liability, and general provisions survive
Governing Law & Dispute Resolution
This Agreement is governed by Delaware law. Disputes resolved through binding arbitration administered by the American Arbitration Association. We're committed to fair and professional resolution of any issues that may arise.
